Abstract
This is a report on the results of our investigation, pursuant to the authority conferred upon us by Section 8 (e) of the Securities Act of 1933, to determine whether or not a registration statement filed with the Commission under that Act by Drayer-Hanson, Incorporated, In respect of a proposed public offering of 80,529 shares of its Class A stock, contained untrue statements of material facts or omitted to state material facts necessary to make the facts disclosed in the registration statement not misleading. As we will indicate more fully later, our investigation disclosed that the registration statement, when it became effective on December 11, 1946, did contain such misstatements and omissions.
